Documents required for LLC registration:

• copies of the passports and tax identification numbers of the founders;
• for non-resident individual founders — obtaining a tax identification number from the tax authority, and a copy of the passport translated and duly certified;
• the residential addresses of the founders, including postcode and city district (if available);
• copies of the passport and tax number of the director and, if there is one, of the accountant;
• the exact location of the LLC — the address including postcode and city district; preferably documents confirming the company's location (a copy of the lease agreement or of the certificate of ownership);
• the name of the LLC;
• the amount of the charter capital and the distribution of shares in it among the participants;
• the main types of activity (business classification codes) — what the company plans to do;
• a notarised power of attorney for the registration of the company from the founder(s);
• information about the chosen taxation system.

A limited liability company (LLC) is a company with a charter capital divided into shares, the size of which is determined by the constituent documents. The maximum number of participants of a limited liability company may reach 100 persons (Art. 50 of the Law of Ukraine "On Business Associations").

Under current legislation, the founder of an LLC may be either an individual or a legal entity. The participants of an LLC are not liable for its obligations and bear responsibility only within the limits of their contributions. An LLC is a full-fledged legal entity which may own separate property, acquire and exercise property and personal non-property rights in its own name, bear obligations, be a plaintiff and a defendant in court, and open bank accounts. A participant of a limited liability company has the right to sell or otherwise assign his share (or part of it) in the charter capital to one or more participants of that company.

The charter capital may be formed both from property (valued as agreed by the participants) and in cash. At the time of registration, the director of an LLC may be a citizen of Ukraine or a foreigner who has obtained the relevant work permit; having an accountant is not obligatory.
